Welcome to Twinlix! These Terms and Conditions (the "Terms") govern your access to and use of the Twinlix platform, website, and associated services. Please read these Terms carefully before using our service. By creating an account or using the Twinlix platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

I. Company Information and Intellectual Property

All rights to the TwinLix trademark, software, platform design, and related technologies are exclusively owned by Axisway LTD (hereinafter referred to as the "Company", "we", "us", or "our").

II. Description of Services

2.1.

Twinlix is a SaaS (Software as a Service) platform that allows businesses to create, train, and manage Artificial Intelligence (AI) virtual assistants.

2.2.

The Services include, but are not limited to:

Creating a digital employee using our conversational 'Setup Mode';

Training the AI knowledge base by uploading documents (PDF, Word, Excel, PowerPoint) and website URLs;

Integrating chatbots with third-party platforms such as Facebook Messenger, Instagram, WhatsApp, and website widgets;

Utilising the built-in Mini-CRM to capture, store, and export lead data (e.g., names, emails, phone numbers);

Using the central Dashboard for analytics and seamless 'Human Takeover' of conversations.

III. Account Registration and Security

3.1.

To use the Service, you must create an account by providing accurate, current, and complete information.

3.2.

You are responsible for maintaining the confidentiality of your login credentials. Twinlix allows you to grant platform access to your team members, eliminating the need to share your sensitive social media passwords (e.g., Instagram, Facebook).

3.3.

The Service is intended for commercial (B2B) use. By registering on behalf of a company or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

IV. Subscription Plans, Pricing, and Payment

4.1.

Plans. Twinlix offers various subscription tiers: Freebie, Professional, and Enterprise. Each plan features specific limits regarding: Message credits; Library character limits; Number of connected channels and users.

4.2.

Payment. Paid plans are billed in advance on a monthly or annual basis. Opting to 'Pay Yearly' provides a 30% discount on the subscription fee.

4.3.

Upgrades and Downgrades. You may change your subscription plan at any time. If you exceed your plan's limits (e.g., Message credits), the Service may temporarily pause your bot's automated replies until the next billing cycle or until you upgrade to a higher tier.

4.4.

Cancellation and Refunds. You may cancel your subscription at any time via the Dashboard. Unless otherwise required by law, we do not provide refunds or credits for partially used billing periods.

V. Intellectual Property Rights

5.1.

Twinlix Rights. Axisway LTD retains all rights, title, and interest in and to the Twinlix platform, including its source code, design, AI algorithms, logos, and trademarks.

5.2.

Client Rights. You retain all rights to the data, documents (price lists, manuals), and materials you upload to the platform to train your AI assistant. You grant us a limited, non-exclusive license to use this data solely for the purpose of providing the Services to you (i.e., operating your bot).

5.3.

White Label. The Enterprise plan may include a "Your custom branding" (White Label) feature, allowing you to remove Twinlix branding. This feature does not transfer any intellectual property rights of the underlying platform to you.

VI. Privacy and Data Protection (GDPR & UK GDPR)

6.1.

In providing the Services, Twinlix collects and processes personal data. Our operations fully comply with the EU General Data Protection Regulation (GDPR) and the UK Data Protection Act 2018 (UK GDPR).

6.2.

Roles: When processing the data of your clients (end-users) who interact with your chatbot (e.g., collecting names and emails in the Mini-CRM), You (the Client) act as the "Data Controller", and Axisway LTD acts as the "Data Processor".

6.3.

You warrant that you have all necessary legal bases and consents from your end-users to collect and process their data via our chatbots.

6.4.

The specific terms of data processing are detailed in our Privacy Policy and Data Processing Agreement (DPA), which form an integral part of these Terms.

VII. Acceptable Use Policy and Third-Party Integrations

7.1.

Prohibited Activities. You agree not to use Twinlix to:

Send spam, unsolicited promotions, or deceptive messages;

Create bots that impersonate government officials, medical professionals, or legal experts without holding the appropriate licenses and displaying clear disclaimers;

Collect or process highly sensitive data (e.g., financial data, health information subject to HIPAA) without appropriate encryption and legal permissions;

Engage in any illegal, fraudulent, or malicious activity.

7.2.

Third-Party Platforms. The platform integrates with services provided by Meta (Facebook, Instagram, WhatsApp) and AI providers (e.g., OpenAI, Google Gemini). You agree to comply with the terms of service of these third parties (such as the WhatsApp Business Messaging Policy). Axisway LTD is not responsible if your social media accounts are suspended or blocked by Meta or other third-party providers.

VIII. Artificial Intelligence and Limitation of Liability

8.1.

The AI models used in Twinlix operate based on the data you provide. While we employ technologies to minimise AI "hallucinations" (fabrications), the AI may occasionally generate inaccurate or incomplete responses.

8.2.

You are entirely responsible for testing your bot (using the Sandbox/Test Drive feature), correcting its knowledge using the "Fine-tune this answer" tool, and monitoring its interactions with your end-users. Axisway LTD accepts no liability for any financial loss, reputational damage, or loss of clients resulting from answers provided by your virtual assistant.

IX. General Limitation of Liability

9.1.

The Platform is provided on an "As is" and "As available" basis. Axisway LTD makes no warranties, expressed or implied, that the Service will be uninterrupted, entirely secure, or error-free.

9.2.

To the maximum extent permitted by applicable law, Axisway LTD’s total liability to you for any claims arising out of or relating to these Terms or your use of the Service shall be limited to the amount you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

X. Governing Law and Dispute Resolution

10.1.

These Terms shall be governed by and construed in accordance with the laws of Scotland and the United Kingdom.

10.2.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Scotland (Edinburgh).

XI. Amendments to the Terms

11.1.

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through a notification in your Dashboard. Your continued use of the Service after such changes have been published constitutes your acceptance of the revised Terms.
